Terms of Service & End-User License Agreement

Effective June 20, 2026

These Terms of Service (“Terms”) govern your access to and use of the Momentum SCM platform and related services (the “Service”), provided by Momentum SCM LLC (“Momentum,” “we,” “us”). By accessing or using the Service, or by being granted an account, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We retain all rights, title, and interest in the Service.

2. Accounts

Access is invite-only and provisioned by an administrator. You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

4. Connected services

The Service can connect to third-party systems (such as QuickBooks Online and ShipHero) that you authorize. Your use of those systems remains subject to their own terms. You are responsible for the accuracy of data you direct the Service to read from or write to a connected system, and you may disconnect any integration at any time.

5. Customer data

As between the parties, you retain ownership of the data you and your clients submit to the Service. You grant us the rights necessary to host and process that data to provide the Service. Our handling of personal information is described in our Privacy Policy.

6. Fees

Fees, if any, are set out in a separate order or agreement between you and Momentum. Invoices generated by the Service for your clients are governed by your agreements with those clients.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that calculated figures are free of error; you are responsible for reviewing invoices and other outputs before relying on them.

8. Limitation of liability

To the maximum extent permitted by law, Momentum will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the Service. Our aggregate liability for any claim relating to the Service will not exceed the amounts paid by you to us for the Service in the twelve months preceding the claim.

9. Termination

We may suspend or terminate access for violation of these Terms or to protect the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

10. Changes

We may update these Terms; continued use after an update constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and you consent to the exclusive jurisdiction of the courts located there.
